Article I

The name of this association is Turlock Education Foundation.

Article IIA

The corporation is a nonprofit Public Benefit Corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes.

Article lIB

The intent of the Turlock Education Foundation is to support and enhance the Turlock Unified School Districts Mission Statement ensuring all students graduate as self-motivated, responsible citizens equipped to compete successfully in an ever-changing global society by providing opportunities for pre-Kindergarten to Adult School students and staff to reach their individual potential and highest achievements.

Turlock Education Foundation consists of members joined by mutual consent for the common, nonprofit purposes of raising funds by private donations and/or in-kind work, sponsorship of fundraisers, and promotion of community support and involvement in the schools, to enrich the quality of education for all students in the Turlock Unified School District and add significant value to the investment in the public school system.

Turlock Education Foundation is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future tax code.

Article IV

This corporation is organized and operated exclusively for charitable purposes within the meaning of Internal Revenue Code Section 501 (c) (3).

No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.

Article V

The property of this corporation is irrevocably dedicated to charitable purposes and no part of the net income or assets of this corporation shall ever inure to the benefit of any director, officer or member thereof or to the benefit of any private person. Upon the dissolution or winding up of the corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under Internal Revenue Code Section 501 (c) (3).
